Terms of Service

1. Agreement to Terms

By downloading or using Lucid Notes ("the App") or by using the lucidnotes.app website (together, "the Services"), you agree to these Terms of Service ("Terms"), a legally binding agreement between you and Sardorbek Rakhimov ("we," "us," or "our"). You must be at least 13 years old to use the Services. If you don't agree, please don't use them.

These Terms work together with our Privacy Policy, which explains how the Services handle data. Your use of the App is also subject to Apple's Media Services Terms and Conditions and Apple's standard Licensed Application End User License Agreement ("Apple EULA"). These Terms supplement the Apple EULA; if there is any conflict, these Terms control except where the Apple EULA is mandatory.

2. The App

Lucid Notes is a note-taking app for macOS. It lets you create, edit, and organize notes with rich text formatting. The App features a transparent floating window designed for use alongside other applications.

The App requires macOS 14.0 (Sonoma) or later. Your notes are stored locally on your device. Pro subscribers can optionally sync notes via iCloud.

Important: Your notes stay on your device or in your iCloud account. We don't operate accounts and we never see or access your notes.

The App connects to third-party services for crash reporting (Sentry), subscription management (RevenueCat), and the in-app Feature Board (Supabase) — see the Privacy Policy for details. Your notes themselves never leave your device or your iCloud account.

3. Subscriptions and Pricing

Free Tier

You can use the App for free with a limit of 5 notes. The free tier includes all core features: rich text editing, tags, export to multiple formats, and basic themes.

Pro

Pro removes the note limit and adds premium features:

• Monthly subscription: auto-renewing, billed monthly
• Yearly subscription: auto-renewing, billed annually
• Lifetime access: a one-time purchase granting perpetual access (not a subscription)

Current prices for all plans are displayed on the App Store listing. Prices may vary by region and are subject to change.

Pro features include: unlimited notes, iCloud sync, App Lock (Touch ID), and premium themes.

Note on "Lifetime access": This means access for as long as the App remains available. If we discontinue the App, lifetime purchasers will receive the final version but are not entitled to refunds.

Auto-Renewal

Monthly and yearly subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours before the current period ends.

Managing Your Subscription

All payments are processed by Apple through the App Store. You can manage or cancel your subscription anytime in your Apple ID account settings (System Settings → Apple ID → Media & Purchases → Subscriptions).

4. Refunds

All refunds are handled by Apple. We don't process payments directly and cannot issue refunds ourselves.

To request a refund, visit reportaproblem.apple.com or contact Apple Support.

5. Your Content

Your notes belong to you. We don't claim any rights to the content you create.

Your notes are stored:

• Locally: In local app storage on your Mac
• iCloud (Pro only): In your personal iCloud account, managed by Apple

We have no access to your notes. We don't read them, analyze them, or use them in any way. Your notes stay entirely on your device and/or your iCloud account.

6. Website Submissions

The lucidnotes.app website includes a feature-request page where you can submit ideas and a feedback page where you can send feedback with optional screenshots or short videos. This section governs those website submissions only — it does not apply to the notes you create inside the App, which remain yours (see Section 5).

License you grant

By submitting a feature request or feedback message, including any optional screenshot or video, you grant us a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, copy, modify, adapt, publish, implement, or ignore your submission for any purpose related to Lucid Notes, with no obligation to compensate or credit you. You confirm that the submission is your own and does not infringe anyone else's rights.

No obligation to implement

We may implement, partially implement, or never implement any submitted idea. We make no commitment that any submission will be acted on, kept visible, or preserved.

Acceptable use

When submitting text, screenshots, or videos, you agree not to post content that:

• Is unlawful, defamatory, harassing, threatening, hateful, or obscene
• Infringes anyone's intellectual property, privacy, or other rights
• Contains personal data about you or anyone else (no emails, names, phone numbers, addresses, etc.)
• Is spam or advertising
• Contains malware, exploits, or attempts to disrupt the website or its providers

Moderation

Feature requests are reviewed before they appear publicly in the App. Feedback submissions are private and are not intended for public display. We may reject, edit, archive, or remove any submission at any time, for any reason, without notice or explanation. Approval is not an endorsement, and removal is not a finding against you.

No warranty on availability

The feature and feedback pages are provided "as is." We don't guarantee that any submission or page will remain available, accurate, or accessible.

Voting (in the App)

Voting on feature requests happens inside the Mac app. We may remove, rate-limit, or invalidate votes that we believe are automated, manipulated, or otherwise abusive, at our sole discretion and without notice. We may also restrict access to the Feature Board for users who attempt such manipulation.

7. Your Responsibilities

When using the App, you agree to:

• Maintain backups: Regularly export your notes. We recommend using the built-in export feature to save copies of your important content.
• Secure your device: You're responsible for the security of your Mac, Apple ID, and iCloud account.
• Use the App lawfully: Don't use the App for anything illegal.
• Respect the App: Don't reverse engineer, decompile, or attempt to extract the source code.

8. Intellectual Property

Lucid Notes, including its design, code, and features, is owned by Sardorbek Rakhimov and protected by copyright and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes. This license does not include the right to modify, distribute, or create derivative works based on the App.

9. No Warranties

The Services (both the App and the lucidnotes.app website) are provided "as is" without warranties of any kind.

We don't guarantee that the Services will be error-free, uninterrupted, or meet your specific needs. We're not responsible for any data loss, whether due to software bugs, device issues, iCloud problems, or any other cause.

Always keep backups of important notes.

Some jurisdictions don't allow warranty exclusions. If that applies to you, these limitations may not fully apply.

10. Limitation of Liability

To the maximum extent permitted by law:

• We're not liable for any indirect, incidental, or consequential damages (including lost profits, lost data, or business interruption).
• Our total liability for any claims related to the Services is limited to the amount you paid us in the 12 months before the claim, or $50 USD, whichever is greater.

Some jurisdictions don't allow these limitations. If that applies to you, these limitations may not fully apply.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Lucid Notes and its owner from third-party claims, damages, liabilities, and reasonable expenses arising from your violation of these Terms, unlawful use of the Services, or feature submissions that infringe another person's rights.

12. General

Updates to Terms

We may update these Terms occasionally. When we do, we'll update the date at the top and post the revised version on lucidnotes.app. Continued use of the Services after changes means you accept the new Terms.

Term and Survival

We may update, modify, or discontinue the App at any time. We may also terminate or suspend your access to the App if you violate these Terms. We recommend regularly exporting your notes to ensure you always have access to your content.

Sections 5 (Your Content), 6 (Website Submissions), 8 (Intellectual Property), 9 (No Warranties), 10 (Limitation of Liability), 11 (Indemnification), and this section survive any termination.

Governing Law

These Terms are governed by the laws of Uzbekistan, without regard to conflict of law principles. If you are a consumer in the European Economic Area, United Kingdom, or other jurisdiction with mandatory consumer protection laws, this does not affect your statutory rights under those laws.

Apple

You acknowledge that these Terms are between you and us only, not with Apple. Apple is not responsible for the App or its content, and is not responsible for providing any maintenance or support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you (if any); to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Severability

If any part of these Terms is found unenforceable, the rest remains in effect.

Waiver

No failure to exercise any right under these Terms shall operate as a waiver of that right.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede any prior agreements.
